Definitions
● Supplier: Sole proprietorship Rawpower.
● Client: Any natural person (consumer) or legal entity purchasing services/products from Rawpower or engaging in negotiations with Rawpower to conclude an agreement.
● Agreement: Any agreement, concluded in any form, between Rawpower and the Client.
● Written communication: All non-verbal communication, including digital correspondence.
● Client: Any natural person (consumer) or legal entity purchasing services/products from Rawpower or engaging in negotiations with Rawpower to conclude an agreement.

1. Applicability
These general terms and conditions apply to all agreements concluded with Rawpower. Any terms and conditions of the Client are rejected unless explicitly accepted in writing by Rawpower.
2. Quotations
Quotations issued by Rawpower are non-binding and valid for 14 days. All prices are exclusive of VAT, unless stated otherwise. Quotations are compiled with care; however, Rawpower cannot guarantee the absence of deviations.
3. Execution of the Agreement
Rawpower shall execute the agreement to the best of its ability and in accordance with the standards of professional practice. Rawpower may engage third parties for the execution of its services. Travel, accommodation, and transportation costs for work outside Rawpower’s location are borne by the Client. This includes compensation for unsuccessful trips. A mileage reimbursement of €0.50 per kilometer applies. The Client must provide all necessary information required for the execution of the agreement. In the event of force majeure, Rawpower is entitled to suspend its obligations. The Client is responsible for obtaining all permits and exemptions required for the execution of the work. If the Client wishes material to be archived, this must be indicated before delivery. After delivery, no archival rights remain. Archiving costs depend on project size and duration. Ownership of all material remains with Rawpower unless agreed otherwise in writing.
4. Delivery of Work
Work is deemed delivered when:
● Rawpower has declared the work to be complete;
● The Client uses any part of the work;
● The Client does not approve the work due to minor issues that, in Rawpower’s judgment, do not impede delivery.
If the Client does not approve the work, written objections must be submitted. Rawpower will then make reasonable efforts to revise the work, subject to its own judgment of what is reasonable.

● The Client does not approve the work due to minor issues that, in Rawpower’s judgment, do not impede delivery.
If the Client does not approve the work, written objections must be submitted. Rawpower will then make reasonable efforts to revise the work, subject to its own judgment of what is reasonable.
5. Term and Execution Period
Agreements are entered into for an indefinite period unless expressly agreed otherwise in writing.
6. Amendments
Any necessary changes to the scope of work shall be agreed upon in consultation. Such changes may impact timelines, quality, and pricing.If a fixed fee was agreed, Rawpower will indicate if the changes lead to a price adjustment. No additional charges will apply if the changes result from Rawpower's own actions.
7. Intellectual Property
Rawpower retains all rights under the Dutch Copyright Act. Unauthorized use constitutes copyright infringement. All materials remain the property of Rawpower until full payment is received. Intellectual property rights are non-transferable unless explicitly agreed otherwise in writing. Rawpower may use knowledge gained for other purposes, provided no confidential information is disclosed.
8. Termination
Both parties may terminate the agreement in writing with a notice period of at least two full calendar months. If the Client terminates the agreement, they must reimburse all costs incurred, including non-refundable reservations.
9. Dissolution of the Agreement
1. The claims of Rawpower against the Client become immediately due and payable in the following cases:
○ After conclusion of the agreement, Rawpower becomes aware of circumstances that give reasonable grounds to fear that the Client will not fulfil their obligations.
○ If Rawpower has requested security from the Client for the fulfilment of their obligations at the time of the agreement and such security is not provided or is insufficient.
2. In the above-mentioned cases, Rawpower is entitled to suspend further execution of the agreement or to dissolve the agreement, without prejudice to Rawpower’s right to claim compensation for damages.
○ After conclusion of the agreement, Rawpower becomes aware of circumstances that give reasonable grounds to fear that the Client will not fulfil their obligations.
○ If Rawpower has requested security from the Client for the fulfilment of their obligations at the time of the agreement and such security is not provided or is insufficient.
2. In the above-mentioned cases, Rawpower is entitled to suspend further execution of the agreement or to dissolve the agreement, without prejudice to Rawpower’s right to claim compensation for damages.
10. Cancellation of Scheduled Working Days
Scheduled working days may be rescheduled or cancelled without charge provided this is done at least 48 hours before the start of the assignment, i.e., before the start of travel time. This does not apply to reserved equipment and/or other arrangements and resulting costs made in preparation for the scheduled working day(s) on behalf of the Client.If cancellation or rescheduling occurs within the 48-hour window, the following charges apply:
● Less than 48 hours’ notice: 50% of the reserved time will be charged.
● Less than 24 hours’ notice: 75% of the reserved time will be charged.
● Same-day cancellation: 100% of the reserved time will be charged.
● Less than 48 hours’ notice: 50% of the reserved time will be charged.
● Less than 24 hours’ notice: 75% of the reserved time will be charged.
● Same-day cancellation: 100% of the reserved time will be charged.
11. Defects and Complaints Term
Complaints regarding the services rendered must be submitted in writing by the Client within 8 days of discovery and no later than 14 days after completion of the relevant services. Whether a complaint is justified will be assessed solely by Rawpower. Even if the Client is dissatisfied with the delivered product, invoices must still be paid in full.
12. Fees
1. For offers and agreements with a fixed fee, paragraphs 2, 5, and 6 of this article apply. If no fixed fee has been agreed upon, paragraphs 3 through 6 apply.
2. A fixed fee may be agreed upon when concluding the agreement. Fixed fees are exclusive of VAT.
3. If no fixed fee is agreed upon, the fee will be determined based on actual hours worked, in accordance with Rawpower’s standard hourly rates applicable at the time of service delivery, unless otherwise agreed in writing.
4. Any cost estimates are exclusive of VAT.
5. For projects lasting longer than two months, costs will be invoiced periodically.
6. If a fixed fee or hourly rate has been agreed upon, Rawpower reserves the right to increase this fee or rate. Rawpower may pass on price increases if it can demonstrate that cost changes (e.g., wages) occurred between the time of the offer and delivery.

3. If no fixed fee is agreed upon, the fee will be determined based on actual hours worked, in accordance with Rawpower’s standard hourly rates applicable at the time of service delivery, unless otherwise agreed in writing.

6. If a fixed fee or hourly rate has been agreed upon, Rawpower reserves the right to increase this fee or rate. Rawpower may pass on price increases if it can demonstrate that cost changes (e.g., wages) occurred between the time of the offer and delivery.
13. Payment
1. 50% of the initial quotation must be paid before commencement of the work. "Initial" refers to the first estimate, and the final amount may be higher due to additional costs.
2. Payment must be made within 5 days of the invoice date, in the currency and method indicated by Rawpower.
3. If payment is not received within 5 days of the invoice date, the Client is in default without the need for a reminder or notice of default. In that case, contractual interest plus 10% is due on the outstanding amount.
4. If the Client remains in default, Rawpower has the right to unilaterally terminate the agreement with immediate effect. Nonetheless, the Client remains obligated to settle the outstanding amount.
5. Payments made by the Client will first be applied to interest and collection costs, then to the oldest outstanding invoices, even if the Client specifies otherwise.
6. Shipping, packaging, and delivery costs are borne by the Client. 7. In case of cancellation, costs incurred up to that point will be invoiced.

14. Compensation for Use of Footage
1. The fee for using audiovisual footage produced by Rawpower is €50 per second (excl. VAT) and covers one-time use, unless otherwise agreed.
2. All rights of ownership remain with Rawpower.
3. The Client is required to provide copyright and credit attribution, unless agreed otherwise.
4. The Client must send a copy of any (film) production using Rawpower’s footage to Rawpower within 5 days of delivery, including the medium on which Rawpower provided the footage.
5. If Rawpower discovers that its footage has been used without proper licensing, and it chooses to retroactively grant permission, Rawpower is entitled to increase the original fee by a 50% surcharge.

15. Collection Costs
If the Client fails to meet one or more of their obligations, all extrajudicial collection costs shall be borne by the Client. If Rawpower can demonstrate that higher costs were incurred which were reasonably necessary, these will also be reimbursed by the Client.
16. Liability
1. Rawpower shall never be held liable for damage arising from complications related to its services. The Client cannot claim compensation from Rawpower for any such damage.
2. The Client is liable for damages arising from shortcomings in fulfilling the agreement by Rawpower, unless such shortcomings cannot reasonably be attributed to Rawpower.
3. Rawpower is not liable for consequential damages.

17. Force Majeure
1. In addition to what is understood by force majeure under law and jurisprudence, these terms define it as all external causes, foreseen or unforeseen, beyond the control of Rawpower, that prevent Rawpower from fulfilling its obligations. This includes strikes and illness within Rawpower or third parties.
2. Rawpower may invoke force majeure even if the relevant circumstance arises after Rawpower should have fulfilled its obligation.
3. During force majeure, Rawpower’s obligations are suspended. If the period of force majeure exceeds two months, either party may terminate the agreement without any obligation to pay compensation.
4. If Rawpower has partially fulfilled its obligations or can only partially fulfil them at the time of force majeure, it is entitled to invoice the delivered/executable part separately. The Client is required to pay this invoice as if it were a separate agreement, unless the delivered/executable part holds no standalone value.

18. Jurisdiction
Rawpower designates the District Court of Midden-Nederland (Utrecht location, subdistrict sector) as the competent court for all disputes between Rawpower and the Client.
19. Applicable Law
All agreements between Rawpower and the Client are governed by Dutch law.
20. Amendments and Availability of Terms
These terms and conditions have been filed with the Chamber of Commerce of Gooi- en Eemland and can be found on the website of Rawpower www.rawpower.nl The applicable terms are those agreed upon at the time of concluding the agreement or, if not signed, those filed with the Chamber of Commerce.
